Proofpoint Acquires Varonis for Six Point Three Billion Dollars in Data Security Mega-Deal

Cybersecurity giant Proofpoint announced Tuesday it will acquire data security specialist Varonis Systems in a six point three billion dollar all-cash transaction, creating what executives describe as the industry's largest data and AI cybersecurity organization. The deal represents one of the largest cybersecurity acquisitions of 2026 and signals massive consolidation in the AI security sector.

Under the agreement announced October 15, Varonis shareholders will receive forty-nine dollars and seventy-five cents per share in cash—a fifty-two percent premium to the company's closing price of thirty-two dollars and seventy-one cents on June 22, the last trading day before initial sale rumors surfaced. The purchase price also represents a seventeen percent premium over Varonis' closing price of forty-two dollars and thirty-five cents on September 1, before additional media reports speculating about a potential sale.

The transaction values Varonis at approximately fifty-three times last twelve months free cash flow and eight point four times last twelve months revenue. Thoma Bravo, the private equity firm that owns Proofpoint, is financing the all-cash deal.

Creating a Cybersecurity Powerhouse

The combined entity will serve more than sixteen thousand enterprises and millions of organizations globally, establishing one of the world's leading pure-play cybersecurity companies. Together, the companies plan to deliver a unified platform helping organizations adopt artificial intelligence with confidence by finding and protecting sensitive data, controlling what people and AI can access, and preventing data loss.

Faitelson noted the announcement follows a comprehensive evaluation led by independent board members, including extensive outreach to potential strategic and financial buyers. The CEO characterized the transaction as "an excellent outcome for the company and our shareholders, representing a realization of immediate, significant, and certain value well in excess of the risk-adjusted value of delivering against our standalone plan."

AI Security Becomes Top Priority

The acquisition reflects surging demand for data protection solutions as enterprises rapidly deploy artificial intelligence systems. Varonis has positioned itself as a leader in securing AI and the data powering it, offering automated visibility and control over critical data wherever it resides. The company's platform helps ensure safe and trustworthy AI from code to runtime, backed by around-the-clock managed detection and response services.

Proofpoint brings complementary capabilities as a global leader in human and agent cybersecurity, creating comprehensive coverage across the expanding attack surface that AI creates. Following closing, Proofpoint intends to move quickly integrating the companies' capabilities, aligning go-to-market efforts, and accelerating delivery of the combined platform to customers.

Deal Timeline and Regulatory Path

The transaction requires approval from Varonis shareholders and customary regulatory clearances. Both companies expect the deal to close in the first half of 2027, subject to satisfaction of closing conditions.

The acquisition marks another significant move by Thoma Bravo in the cybersecurity sector, where the private equity firm has assembled a portfolio of leading security companies through strategic M&A. By combining Proofpoint and Varonis, Thoma Bravo is betting billions that integrated data and human security represents the future of enterprise protection in an AI-driven world.

Varonis, trading on Nasdaq under the ticker VRNS, has built its reputation over two decades as the data and AI security leader. The company's platform gives thousands of organizations worldwide the confidence to adopt AI, reduce data exposure, and stop AI-powered threats. Proofpoint's human-centric security approach complements Varonis' data-centric model, creating end-to-end protection for the modern enterprise.
