The Canadian pension giant and global asset manager are taking private one of America's largest warehouse and logistics portfolios in an all-cash transaction.

Brookfield Asset Management and Canada Pension Plan Investment Board have agreed to acquire LXP Industrial Trust in an all-cash transaction valued at 5.2 billion dollars, adding one of America's premier warehouse and logistics portfolios to their real estate holdings.

The deal, announced Sunday, will pay LXP shareholders 61.20 dollars per share in cash — representing a 12.3% premium to the 30-day volume-weighted average price and a 19.8% premium to the 90-day average.

A Pure-Play Industrial Giant

LXP owns one of the largest portfolios of modern warehouse and logistics facilities in the United States, comprising approximately 53 million square feet across 108 properties. The properties are concentrated in attractive industrial markets in the Sunbelt and Midwest regions — areas that have seen explosive growth in e-commerce and logistics demand.

The portfolio is characterized by modern assets, strong occupancy rates, and long-duration leases that generate durable cash flows, according to the companies.

Strategic Culmination

For LXP, the acquisition represents the culmination of a multi-year transformation strategy. The company spent years converting from a diversified REIT into a pure-play industrial specialist, a pivot that ultimately made it an attractive acquisition target.

"This transaction is the culmination of the LXP team's successful execution of our strategic plan to transform LXP into a pure-play industrial REIT, curate a best-in-class portfolio, and implement our development program," said Thomas W. Eglin, Jr., Chairman and Chief Executive Officer of LXP.

"The LXP Board unanimously determined that this transaction with Brookfield and CPP Investments fully maximizes value for our shareholders," Eglin added.

Brookfield's Industrial Bet

For Brookfield, one of the world's largest alternative asset managers, the acquisition continues its aggressive push into industrial real estate — one of the hottest sectors in commercial property.

"LXP has assembled a high-quality industrial portfolio with modern logistics assets in attractive markets," said Lowell Baron, Chief Executive Officer of Brookfield Real Estate. "The acquisition aligns with our strategy of investing in high-quality real estate with durable cash flows and opportunities to create value through active asset management."

Baron noted that Brookfield is "excited to partner with CPP Investments and build on LXP's strong foundation."

CPP Investments Expands Real Estate Footprint

Canada Pension Plan Investment Board, which manages hundreds of billions in assets for Canadian retirees, has been steadily building its real estate portfolio globally. The LXP transaction gives CPP Investments direct ownership of prime American logistics infrastructure at a time when warehouse space remains in high demand.

Market Context

The deal comes as industrial real estate continues to command premium valuations despite broader challenges in commercial property. While office buildings struggle with post-pandemic occupancy issues and retail faces ongoing disruption, warehouses and distribution centers have remained resilient, benefiting from the continued growth of e-commerce and reshoring of manufacturing.

At 5.2 billion dollars, the LXP acquisition is one of the largest REIT take-private transactions of 2026, signaling that institutional investors remain confident in the long-term fundamentals of the industrial property sector.
